Subscription Agreement

This AGREEMENT between___________________________________, (“Subscriber”) and Used Book Central, LLC ("UBC Service") entered into on this ___ day of_________ , 20__ shall commence immediately and remain in effect until cancelled by either party as set forth under the terms of this AGREEMENT. This AGREEMENT will be governed by the laws of the state of Ohio.

The collection of programs and Internet services located at usedbookcentral.com are copyrighted by UBC Service and shall remain the sole property of UBC Service.  UBC Services hereby grants permission for Subscriber to post listings to the UBC Services database subject to the terms of this AGREEMENT.

Subscriber warrants that it is a licensed vendor.  Subscriber shall limit all listing to lawful items for sale and otherwise avoid the posting of libelous, unauthorized, or fraudulent material.  Subscriber is solely responsible for the information it posts.  Subscriber shall be expected to provide a level of service consistent with other Subscribers and to resolve all disputes directly with the customers. 

Used Book Central is a passive aggregator of content for view by the public.Used Book Central provides a database that among other objectives offers the market a consistent collection of offerings from numerous dealers.Used Book Central shall have the right to terminate this agreement if, in its sole discretion Used Book Central deems postings by Subscriber to contain materials that are inconsistent with those of other Subscribers.Either party shall have the right to otherwise terminate this agreement at any time with 30 days prior notice.

Subscriber authorizes UBC Service to automatically process payments for monthly listed fees with credit card or ACH debits in accordance with UBC Service services and pricing specified on the usedbookcentral.com website, and otherwise hold UBC Service harmless for all actions or omissions that may occur in the performance of UBC Service services.

Book data that appears on the site of usedbookcentral.com shall not be permitted for copy, resale, or distribution by Subscriber other than is made available through UBC.

There are no warranties, expressed or implied, of the products or services furnished under this AGREEMENT. UBC Service disclaims any implied warranty or merchantability or fitness for a particular purpose or software. UBC Service disclaims any warranties related to data supplied from Content Provider.UBC Service agrees to provide 60 day prior written notice by e-mail prior to any price increase. UBC Service shall have the unrestricted right to modify,upgrade, or add services to the UBC Service system at any time.

The relationship between Subscriber and UBC Service is that of Service Provider and Subscriber. This AGREEMENT shall in no way be construed to permit either party to act as agent or on behalf of the other, or to enter into a binding commitment for the other.

This AGREEMENT shall cover any and all services that Subscriber authorizes in writing, or by e-mail. All correspondence shall be directed to the address of record of either party as specified at usedbookcentral.com.

The undersigned hereby agree to abide by the terms of this AGREEMENT and certifies that they are each authorized to represent the parties to this AGREEMENT.
